Buying property through a limited company changes more than the name on the title. It affects who owns the asset, how the purchase is funded and which legal duties apply.<\/p>\n

A company structure may suit some landlords and investors. But it is not the best choice for every buyer. Tax, mortgage terms and future plans all need careful thought.<\/p>\n

This guide focuses on property purchases in England and Wales.<\/p>\n

Who Owns Property Bought Through a Company?<\/h2>\n

A limited company is a separate legal person. If it buys a property, the company owns that property.<\/p>\n

The directors manage the company. Shareholders own shares in it. Neither becomes the personal owner of its property simply because of that role.<\/p>\n

This distinction matters when you:<\/p>\n

  • Sell the property.<\/li>\n
  • Bring another investor into the business.<\/li>\n
  • Take money out of the company.<\/li>\n
  • Transfer ownership between family members.<\/li>\n

    A sale of company shares is also different from a sale of the property itself. Each route needs its own legal and tax review.<\/p>\n

    Choosing the Company and Agreeing Its Purpose<\/h2>\n

    Some buyers use an existing trading company. Others set up a company solely to hold property.<\/p>\n

    A special purpose vehicle<\/strong>, often called an SPV, is commonly used for a defined purpose such as property investment. It is still a company with filing, accounting and legal duties.<\/p>\n

    Before choosing a structure, discuss:<\/p>\n

    • The type of property you plan to buy.<\/li>\n
    • Whether it will be let, developed or used by the business.<\/li>\n
    • The lender\u2019s company requirements.<\/li>\n
    • Existing debts and business risks.<\/li>\n
    • How future profits or sale proceeds will be used.<\/li>\n<\/ul>\n

      Using an existing business may link the property to risks from its other activities. A separate company can change that risk structure, but it does not remove all exposure.<\/p>\n

      Authority to Buy and Sign Documents<\/h2>\n

      Your conveyancer needs to establish that the company can enter the deal and that the right people approve it.<\/p>\n

      They may ask for company records, its articles of association and a board resolution. These help show who can act and how the purchase was approved.<\/p>\n

      Directors must also consider their duties to the company. Extra care is needed where a director has a personal interest in the deal.<\/p>\n

      The sale contract, transfer deed and mortgage documents must be signed correctly. The signing method depends on the document and the company\u2019s circumstances.<\/p>\n

      Company Mortgages and Personal Guarantees<\/h2>\n

      A mortgage offered to a company can have different terms from one offered to an individual.<\/p>\n

      The lender may set rules about the company\u2019s activities, shareholders or use of the property. It may also require security over other company assets.<\/p>\n

      Directors are often asked to provide a personal guarantee<\/strong>. This can make them personally liable if the company does not pay.<\/p>\n

      Before signing, check:<\/p>\n

      • Whether the guarantee has a financial limit.<\/li>\n
      • Whether interest and legal costs fall within that limit.<\/li>\n
      • Whether it covers future borrowing.<\/li>\n
      • When the lender can demand payment.<\/li>\n
      • What is needed to obtain a release.<\/li>\n<\/ul>\n

        Limited liability does not cancel a separate personal guarantee.<\/strong> The lender may require independent legal advice before accepting it.<\/p>\n

        Tax Costs Beyond the Purchase Price<\/h2>\n

        Buying property through a company does not automatically reduce tax. The result depends on the property, its use and the wider ownership structure.<\/p>\n

        Stamp Duty and Welsh Land Transaction Tax<\/h3>\n

        Companies buying residential property in England generally face the higher residential SDLT rates where the relevant rules apply. A separate corporate rate can apply to certain purchases, subject to reliefs.<\/p>\n

        Commercial and mixed-use property need a different assessment. Wales uses Land Transaction Tax<\/strong>, with its own rules.<\/p>\n

        Annual Tax on Enveloped Dwellings<\/h3>\n

        Annual Tax on Enveloped Dwellings<\/strong>, or ATED, can apply to companies holding UK residential property worth more than \u00a3500,000.<\/p>\n

        Reliefs may be available, including for qualifying property rental businesses. However, a return may still be required to claim relief, even where no tax is payable.<\/p>\n

        Ongoing Profits and Taking Money Out<\/h3>\n

        Ask a tax adviser to compare the full costs of company and personal ownership. The review should cover rental profits, a future sale and taking money out of the company.<\/p>\n

        If you or a family member will live in the property, raise this early. Personal use can create further tax and lending issues.<\/p>\n

        Company Identity Checks and ID2 Verification<\/h2>\n

        The conveyancer must establish who the company is and who owns or controls it. They may also need to check directors, beneficial owners and the source of the purchase funds.<\/p>\n

        These checks are separate from HM Land Registry\u2019s identity requirements.<\/p>\n

        Form ID2<\/strong> is used for corporate bodies where that form is required. Form ID1<\/strong> is used for individuals. The correct route depends on the application and whether the parties have legal representation.<\/p>\n

        A company purchase does not automatically require a separate ID2 appointment.<\/p>\n

        \u201cBefore booking a company identity check, ask your conveyancer which evidence is needed and who should attend. Company details, the person\u2019s role and their authority to act should be clear from the start.\u201d<\/p>\n

        Where a separate check is required, arranging ID2 form verification early can help you prepare the right evidence.<\/p>\n

        The check confirms identity. It does not replace conveyancing, tax advice or a review of the company\u2019s authority to buy.<\/p>\n

        Property Checks Still Matter<\/h2>\n

        Occupation<\/strong><\/td>\nExisting tenants, leases or other rights to occupy.<\/td>\n<\/tr>\n
        Funding<\/strong><\/td>\nMortgage conditions and the funds needed to complete.<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n

        Company ownership does not resolve a title problem or make an unlawful use acceptable.<\/p>\n

        Plan Your Exit Before You Buy<\/h2>\n

        Think about how you may leave the investment.<\/p>\n

        Will the company sell the property? Could another investor buy your shares? What happens if shareholders disagree or one wants their money back?<\/p>\n

        Where several people invest, a shareholders\u2019 agreement can help set out decision-making, funding and exit arrangements.<\/p>\n

        Agreeing these points early can reduce the scope for disputes later.<\/p>\n

        A Checklist Before Exchange<\/h2>\n

        Before committing to the purchase:<\/p>\n

        1. Confirm the company structure with your legal and tax advisers.<\/li>\n
        2. Obtain funding terms that match the proposed use.<\/li>\n
        3. Review any personal guarantee.<\/li>\n
        4. Complete the property and company checks.<\/li>\n
        5. Confirm signing authority and identity evidence.<\/li>\n
        6. Budget for tax, professional fees and ongoing costs.<\/li>\n<\/ol>\n

          Buying through a company should support a clear plan. The right structure depends on the property, the funding and what you want to achieve over time.<\/p>\n
